VanEck Criticizes Metaplanet’s Executive Compensation, Citing Substantial Shareholder Dilution Concerns

Asset management firm VanEck has issued a strong critique of Metaplanet’s executive compensation structure, arguing that despite recent attempts by the Bitcoin treasury company to mitigate shareholder dilution, the measures remain insufficient to adequately align management interests with those of investors. VanEck’s analysis highlighted a significant equity plan allocation for Metaplanet’s executives, amounting to 14.7% of the company’s fully diluted shares. Furthermore, the direct officer exposure within this plan was pegged at 8.2%. This contrasts sharply with the average officer exposure of 0.8% observed among the other nine companies analyzed, placing Metaplanet’s exposure approximately ten times higher. Similarly, Metaplanet’s overall equity plan is nearly four times the peer average, indicating a substantial allocation of potential equity to its management team relative to other publicly traded digital asset treasury firms.

In stark contrast, Strategy, identified as the largest corporate Bitcoin (BTC) holder, received a "Good" rating from VanEck for its compensation structure. Strategy’s equity plan represents 2% of its fully diluted shares, with officer exposure at 0.5%. A key differentiator noted by VanEck is Strategy’s fixed equity reserve and the requirement for shareholder approval for any plan increases, a practice that fosters greater transparency and investor oversight.

Metaplanet, a Japanese entity, has established itself as the third-largest publicly traded corporate Bitcoin holder, currently possessing 43,000 BTC, according to data compiled by BitcoinTreasuries.net. The company’s strategic focus on accumulating Bitcoin as a treasury asset has positioned it as a significant player in the digital asset investment landscape. However, its approach to executive compensation has drawn scrutiny from influential market participants like VanEck.

The Genesis of Dilution Concerns: An Expanding Equity Pool

The core of VanEck’s criticism stems from Metaplanet’s former compensation structure, which featured an automatic adjustment mechanism for its executive stock option pool. This mechanism allowed the pool to expand proportionally as the company issued new shares to finance its Bitcoin acquisitions. This dynamic led to a dramatic increase in the potential share count within the option pool, ballooning from an initial 46 million shares to a staggering 319.5 million shares. This expansion represented the creation of approximately 273 million additional potential shares, significantly increasing the overall fully diluted share count.

Critics argued that such an automatic expansion was excessively dilutive and did not adequately reflect the value creation or performance of the executive team.

Metaplanet’s Response and VanEck’s Persistent Doubts

In response to shareholder concerns and likely in anticipation of increased scrutiny from institutional investors and analysts, Metaplanet took steps to address the equity pool issue. In August of the current year, the company officially terminated the automatic adjustment mechanism. Subsequently, in September, Metaplanet announced a reduction in the overall equity pool by 41%, bringing it down from 319.5 million to 188.2 million shares.

Despite these corrective actions, VanEck maintains that the changes implemented by Metaplanet "fall well short of the mark." The asset manager’s analysis suggests that the reduction, while a step in the right direction, does not fully rectify the underlying issues of excessive dilution and misaligned incentives.

VanEck’s Friday report explicitly called for Metaplanet to go further. The firm recommended that Metaplanet reverse the approximately 273 million-share expansion that was generated by the now-abolished adjustment clause. Furthermore, VanEck suggested that any remaining equity rights within the pool should be replaced with a compensation plan that requires explicit shareholder approval, thereby enhancing transparency and accountability.

However, VanEck also pointed to a crucial nuance: the potential for dilution may have already been largely realized. The report noted that unless past grants are clawed back – a scenario that is often complex and legally challenging – a significant portion of the dilution effect may have already taken hold, impacting existing shareholders. This implies that even with a reduced pool, the historical impact of the expansive mechanism continues to be a concern.

Beyond addressing the existing equity pool, VanEck offered broader recommendations for Metaplanet to improve its executive compensation practices and better align management with shareholder interests. Specifically, VanEck proposed using "Bitcoin per fully diluted share" as a key performance indicator.
